Terms of Service

These Terms of Service ("Terms") govern your use of coagentsystems.com and any Services purchased from CoAgent Systems ("CoAgent Systems," "we," "us," or "our"). By submitting the Zero Cost Business Evaluation form, signing a proposal or agreement, or otherwise engaging our Services, you agree to these Terms.

Our Services

CoAgent Systems provides website design and launch, managed hosting, local SEO foundation, and AI-driven sales and marketing automation ("AI Employees") for local service businesses, delivered through the package tiers described on our Managed Plans page: Launch & Managed, Autonomous Starter, Autonomous Growth, and Autonomous Scale.

Pricing & Payment

• The $750 website build and launch fee is due before website production begins.
• The $300/month Launch & Managed fee begins when the website launches, or 30 days after kickoff if the client delays content or approval.
• Launch & Managed requires an initial 12-month agreement, followed by month-to-month service.
• Autonomous packages (Starter, Growth, Scale) require an initial 90-day optimization period, followed by month-to-month service.
• Advertising spend is not included in any package price and is billed or funded separately.
• Phone, SMS, email, A2P 10DLC registration, premium third-party software, and exceptional API usage may be billed separately.
• Domain purchases, large redesigns, custom applications, ecommerce catalogs, and work beyond the stated package limits require separate pricing, agreed in writing before work begins.

Cancellation & Refunds

• The $750 website build and launch fee is non-refundable once production has begun, as it reflects labor already performed.
• Monthly retainers may be cancelled with 30 days' written notice after the applicable initial term (12 months for Launch & Managed; 90 days for Autonomous packages) has been satisfied.
• Cancellation during an initial term may be subject to early-termination terms in your signed agreement.

Autonomous Actions & Approval Controls

For Autonomous package clients, actions affecting advertising spend, public content, or customer communications require your approval unless written operating rules have been authorized in advance. You remain in control of what goes live under your business's name.

No Guaranteed Results

Figures referenced on this Site — including revenue leakage estimates, ROI ranges, response-time statistics, and the Revenue Leakage Calculator output — are estimates based on the information you provide and general industry data. They are illustrative only and are not a guarantee of any specific result. Actual outcomes depend on your lead quality, existing processes, offer, market, and execution.

Intellectual Property

Upon full payment, you own the final website content and design created specifically for your business. CoAgent Systems retains ownership of its underlying methodology, automation frameworks, templates, and system architecture, which may be reused across engagements.

Limitation of Liability

To the maximum extent permitted by law, CoAgent Systems' total liability arising from the Services will not exceed the fees paid by you in the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunities.

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Changes to These Terms

We may update these Terms from time to time. Continued use of the Site or Services after changes take effect constitutes acceptance of the updated Terms.
